If you are residing within the United States, these Terms shall be governed by the laws of the State of North Carolina and all disputes arising out of these Terms shall be subject to, and each party hereby consents to, the sole and exclusive jurisdiction of the competent courts located in North Carolina. If you are residing outside the United States, these Terms shall be governed and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable and the Ontario Superior Court of Justice will have exclusive jurisdiction to resolve any disputes relating to these Terms. Any principles of conflict of laws provisions shall not apply hereto. The provisions of the United Nations Convention on the International Sale of Goods shall not apply to these Terms.
